TRUYOO DEVELOPER ACCOUNT TERMS OF SERVICE

Truyoo is an online identity verification service that allows Web site owners, developers and managers to wipe out abusive users, prevent poll tampering, eliminate comment spam and verify users' real names.

ACCEPTANCE OF TERMS OF SERVICE

By creating a Truyoo Developer Account, you agree to be bound by the terms and conditions of this Terms of Service agreement. If there is anything you do not understand, please contact Truyoo for clarification before agreeing to these terms.

RESPONSIBILITIES AND OBLIGATIONS

You agree not to use the Truyoo Web site or any of Truyoo's services for any illegal purposes, or in any way that may damage or interfere with the normal operations of Truyoo or any other Web site or Web service.

You agree that you will not use any of Truyoo's intellectual property, including but not limited to the text and images on its Web site, without express permission by Truyoo, except where such use is permitted by fair-use laws.

DISCLAIMER OF WARRANTIES, LIMITATION OF LIABILITY, INDEMNIFICATION

Truyoo's Web site and services are subject to constant change. You will not be eligible for any compensation arising from your inability to use or access any part of the Web site or because of a failure, suspension or withdrawal of Truyoo's services.

Truyoo reserves the right to modify or withdrawal, temporarily or permanently, the services it provides, with or without notice to you, and you confirm that Truyoo shall not be liable to you or any third party for any modification to or withdrawal of the services it provides.

You agree to be fully responsible for (and fully indemnify Truyoo against) all claims, liability, damages, losses, costs and expenses -- including legal fees -- suffered by Truyoo and arising out of any breach of the conditions set forth in this agreement by you or any of your agents.

Truyoo has the right, but not the obligation, to monitor any activity on the Truyoo Web site and may investigate any reported or apparent violation of these terms and take any action that we deem appropriate (which may include, but is not limited to, suspending your Truyoo Developer Account).

Truyoo makes no warranties, expressed or implied, in relation to the Truyoo Web site or any of the services Truyoo provides, including but not limited to implied warranties of satisfactory quality, fitness for a particular purpose, non-infringement, compatibility, security, accuracy, condition or completeness. Unless specified in separate terms or conditions, Truyoo makes no warranty that the Web site or products or services offered by Truyoo will meet your requirements or will be uninterrupted, timely, secure, error-free, that defects will be corrected, or that the Web site or services offered are free of viruses or bugs or are fully functional or reliable. Truyoo will not be responsible for any loss of content or material as a result of your use of the Truyoo Web site or any services Truyoo provides.

Truyoo will not be liable, in contract, tort (including, without limitation, negligence), pre-contract or other representations (other than fraudulent misrepresentations) for any economic losses or any loss or goodwill or reputation, or any loss or corruption of data, or any indirect or consequential losses.

SEVERABILITY

If any part of these terms shall be deemed unlawful, void or for any reason unenforceable, then that provision shall be deemed to be severable from these terms and shall not affect the validity and enforceability of any of the remaining provisions of the terms.

CHANGES TO THIS AGREEMENT

Truyoo may modify these terms and conditions, and your continued use of Truyoo's services following such changes shall be deemed to be your acceptance of such changes. It is your responsibility to check regularly to determine whether the conditions have changed. If you do not agree to any change to this agreement, you must immediately stop using Truyoo.

JURISDICTION

These conditions will be exclusively governed by and construed in accordance with the laws of the state of Delaware, whose courts will have exclusive jurisdiction in any dispute that may arise between you and Truyoo.
